Cravath’s New York Office Moves to Two Manhattan West
Benjamin Gruenstein is a member of the Investigations and Regulatory Enforcement Practice. His practice focuses on the representation of U.S. and multinational companies and their senior executives in high‑stakes government and internal corporate investigations in such areas as the Foreign Corrupt Practices Act, money laundering, healthcare fraud, trade sanctions, insider trading, securities and accounting fraud, and accompanying civil litigation.
Mr. Gruenstein regularly advises clients in connection with criminal and regulatory investigations, including those conducted by the U.S. Department of Justice, the U.S. Securities and Exchange Commission and other federal and state regulatory agencies. He also represents boards of directors and their committees on issues related to corporate governance and regulatory compliance and conducting independent investigations on behalf of boards and board committees. He is a member of the Criminal Justice Act Panel, authorized to represent indigent defendants in cases before the Second Circuit and in the Southern District of New York. Recently, Mr. Gruenstein led a team of Cravath attorneys in submitting an amicus brief on behalf of the Innocence Network in support of death row inmate Melissa Lucio’s application for habeas corpus and motion to stay execution. Just two days before the scheduled execution, on April 25, 2022, the Texas Court of Criminal Appeals issued a per curium opinion staying the execution and remanding the habeas claims to the trial court for a merits review.

On July 1, 2024, Silvergate announced it has agreed to settlements with the Board of Governors of the Federal Reserve System (“Federal Reserve”), the California Department of Financial Protection and Innovation (“DFPI”) and the Securities and Exchange Commission (“SEC”). In a statement, Silvergate noted its decision to liquidate voluntarily and without government assistance in March 2023, and that, as of November 2023, all deposits had been repaid to banking customers, soon after which Silvergate ceased banking operations. The announced settlements, which facilitate the surrender of Silvergate’s bank charter, are part of the Bank’s continued orderly wind down and conclude investigations by the Federal Reserve, DFPI, and SEC. Cravath represented Silvergate in connection with the investigations, resulting settlements, and voluntary liquidation.

On May 13, 2024, the U.S. District Court for the Southern District of Texas dismissed claims brought by the Federal Trade Commission (“FTC”) against private equity firm Welsh Carson relating to U.S. Anesthesia Partners’ (“USAP”) acquisition of anesthesiology practices in Texas, and other allegedly anticompetitive conduct. In a novel approach, the FTC had named both USAP and Welsh Carson, a minority investor, as defendants in the case. On behalf of Cravath client American Investment Council, Cravath submitted an amicus brief in support of Welsh Carson’s motion to dismiss.

On February 13, 2024, the New York State Appellate Division, First Department, reversed the convictions of Tommy Davis, who was simultaneously prosecuted for two unrelated incidents involving firearms. On May 13, 2024, the U.S. District Court for the Southern District of Texas dismissed claims brought by the Federal Trade Commission (“FTC”) against private equity firm Welsh Carson relating to U.S. Anesthesia Partners’ (“USAP”) acquisition of anesthesiology practices in Texas, and other allegedly anticompetitive conduct. In a novel approach, the FTC had named both USAP and Welsh Carson, a minority investor, as defendants in the case. On behalf of Cravath client American Investment Council, Cravath submitted an amicus brief in support of Welsh Carson’s motion to dismiss.

On February 13, 2024, the New York State Appellate Division, First Department, reversed the convictions of Tommy Davis, who was simultaneously prosecuted for two unrelated incidents involving firearms. Cravath represented Mr. Davis on a pro bono basis alongside co‑counsel at the Office of the Appellate Defender.

Patrone, Elad Roisman and Sasha Rosenthal‑Larrea, in collaboration with Jason Trager, Senior Director of Blockchain & Digital Assets at FTI Technology, entitled “Bringing Blockchain Due Diligence into Focus Alongside Uptick in Strategic Dealmaking.” The article discusses the renewed momentum around blockchain and digital assets, predicting an increase in deal activity including M&A transactions and joint ventures going into 2025, and explores the key elements that dealmaking teams should consider when conducting due diligence for these transactions.

On October 7, 2024, Cravath was honored by the Office of the Appellate Defender, the second oldest institutional provider of appellate representation in New York City, at its 31st annual “First Monday in October” gala. The Firm received the 2024 Gideon Award in recognition of its commitment to indigent appellate defense through its longtime participation in OAD's Volunteer Appellate Defender program, including its work with OAD as co‑counsel to help reverse a wrongful criminal conviction resulting from the joinder of two indictments at one trial. Partner Benjamin Gruenstein accepted the award on behalf of the Firm.

Cravath partners Benjamin Gruenstein, Sasha Rosenthal‑Larrea and Evan Norris and Variant deputy general counsel Daniel Barabander co‑authored an article entitled “Cybersecurity Liability for Web3 Platforms: Key Issues and Risk Mitigation Solutions,” which was published by Bloomberg Law on September 4, 2024. The article explores the liability landscape faced by web3 platforms in the wake of a cybersecurity incident, including potential for negligence, breach of contract and breach of fiduciary duty claims, as well as securities law shareholder derivative claims. The article also details how parties can mitigate their risk through the integration of proactive security solutions.

On May 16, 2024, Cravath partner Benjamin Gruenstein participated in Gleiss Lutz’s annual Compliance & Investigations Conference in Frankfurt, Germany. The event convened lawyers and business professionals to discuss the latest legal developments in the field of compliance and their practical implications. Ben gave a speech entitled “The U.S. Department of Justice: Prosecutor, Regulator or International Watchdog?,” in which he discussed recent pronouncements by the Department of Justice related to corporate cooperation, compliance programs and prosecutorial priorities.
