Transition SPAC’s Initial Public Offering of Units

Cravath, together with Bredin Prat, represented Transition S.A. (“Transition”) in connection with its €206.5 million initial public offering of units. Transition is a special‑purpose acquisition company that was set up for the purpose of acquiring one or more target businesses or companies with principal operations in the energy transition sector with a business seat in Europe. The units were listed on Euronext Paris. The transaction closed on June 22, 2021.
