Cravath’s New York Office Moves to Two Manhattan West
Cravath represented The Restaurant Group plc in connection with its £175 million private placement/Reg. S offering of new ordinary shares by way of a firm placing and placing and open offer. The Restaurant Group plc is a significant participant in the UK casual dining market which operates across four divisions: Wagamama, leisure, pubs and concessions. The shares were listed on the London Stock Exchange. The transaction closed on March 30, 2021.
The Cravath team included partner Philip J. Boeckman, European counsel Margaret R. M. Rallings and associate Connor F. O’Neill on capital markets matters, and partner Christopher K. Fargo and associate Andrew T. Davis on tax matters. Niccolo Calvi also worked on capital markets matters.

The Restaurant Group PLC is a significant participant in the UK casual dining market which operates across three divisions: leisure, pubs and concessions. Cravath also represented The Restaurant Group PLC in connection with its £559 million acquisition of Mabel Topco Limited, the parent company of Wagamama. The transaction closed on December 18, 2018.
