NetScout Systems, Inc.’s Senior Secured Revolving Credit Facility

On October 12, 2014, NetScout Systems, Inc., a leader in application and network performance management products and solutions, entered into an agreement to acquire, pursuant to an all‑stock merger transaction, the worldwide communications group businesses of Danaher Corporation. Cravath represented JPMorgan Chase in connection with the arrangement of a $800 million five‑year senior secured revolving credit facility to be used by NetScout to finance stock buy‑backs relating to the acquisition and for working capital and other general corporate purposes. The transaction closed on July 14, 2015.

The Cravath team included partners B. Robbins Kiessling and Stephen M. Kessing, senior attorney Patrick J. Moriarty, practice area attorney Jin Hee Kim and associate Mathew J. Saur on banking matters and partner J. Leonard Teti II on tax matters. Summer associates DongHwa Kim and Kathryn‑Ann Stamm also worked on banking matters.
