On November 30, 2022, Cravath partner John D. Buretta participated in the 39th annual International Conference on the Foreign Corrupt Practices Act, which was hosted by the American Conference Institute in Washington, D.C. from November 29 – December 1, 2022. John spoke on a panel entitled “Easing the Newest Concerns of the Board: What Needs to Be Addressed Moving Forward,” which examined effective board engagement on compliance matters and evolving liability risks for board members under the Caremark standard.

On November 22, 2022, Cravath client Goldman Sachs Asset Management, L.P. (“GSAM”) reached a settlement with the U.S. Securities and Exchange Commission addressing historical policies and procedures related to three of GSAM Fundamental Equity group’s ESG investment portfolios. As part of the no‑admit, no‑deny settlement, GSAM agreed to pay $4 million as a civil money penalty.

On October 1, 2022, RWE AG (“RWE”), a leading renewable energy company, signed a purchase agreement with Con Edison, Inc. to acquire all shares in Con Edison Clean Energy Businesses, Inc., a leading operator and developer of renewable energy plants in the United States, for a purchase price based on an enterprise value of $6.8 billion. Cravath is representing RWE, alongside Hengeler Mueller, in connection with the transaction.

On June 1, 2022, Aramex PJSC (“Aramex”), a leading global provider of comprehensive logistics and transport solutions, announced it has entered into a binding agreement to fully acquire Access USA Shipping LLC (“MyUS”), a global technology‑driven platform that enables cross‑border e‑Commerce, for a cash purchase price of $265 million, subject to customary adjustments. Cravath is representing Aramex in connection with the transaction.

On March 31, 2022, Swvl Inc. (“Swvl”), a global provider of transformative tech-enabled mass transit solutions, announced the completion of its previously announced business combination with Queen’s Gambit Growth Capital, the first special purpose acquisition company founded and led entirely by women, following an extraordinary general meeting of Queen’s Gambit’s shareholders held on March 30, 2022. The combined company has changed its name to Swvl Holdings Corp. On April 1, 2022, Swvl Holdings Corp’s Class A ordinary shares and warrants are expected to commence trading on NASDAQ under the ticker symbols “SWVL” and “SWVLW”, respectively. Cravath is representing Swvl in connection with the transaction.
