Cravath’s New York Office Moves to Two Manhattan West
Cravath represented the borrower, FactSet Research Systems Inc., in connection with the arrangement of $1.5 billion of credit facilities to finance the acquisition of the CUSIP Global Services, an operator of market standard security identifiers, from S&P Global. The facilities consisted of a $1 billion term loan facility and a $500 million revolving credit facility. The transaction closed on March 1, 2022.
The Cravath team included partner Tatiana Lapushchik, of counsel Kimberly A. Grousset and associate Olivia Ya Huang on banking matters, and partner Andrew T. Davis and associate Christopher M. Winters on tax matters. Obianuju A. Enworom also worked on banking matters.

On December 27, 2021, FactSet, a global provider of integrated financial information and analytical applications, announced that it has entered into a definitive agreement to acquire CUSIP Global Services, an operator of market standard security identifiers, from S&P Global for $1.925 billion in cash. Cravath is representing FactSet in connection with the transaction.
