Cravath Advises on Nine Announced M&A Deals in Two‑Week Period

Between July 28 and August 11, 2023, Cravath advised on nine announced deals, including seven deals in a span of three business days. Cravath is representing:

1. Biogen in its $7.3 billion acquisition of Reata Pharmaceuticals;
2. Hasbro in the sale of its eOne film and TV business to Lionsgate;
3. Tabula Rasa in its acquisition by Nautic;
4. ADT in its $1.6 Billion sale of its commercial business to GTCR;
5. AG Mortgage Investment Trust, Inc. in connection with its acquisition of Western Asset Mortgage Capital Corporation;
6. EchoStar Corporation’s Special Committee in the $6 billion combination with DISH Network Corporation;
7. The Walt Disney Company in connection with ESPN’s agreement with PENN Entertainment to launch ESPN BET;
8. Light & Wonder in its acquisition of the remaining public shares of SciPlay; and
9. Forward Air in its combination with Omni Logistics.

The Cravath teams working on these matters included lawyers across practice areas, including M&A, capital markets, corporate governance, environmental, executive compensation and benefits, financing, intellectual property, real estate, regulatory and tax.
