Cravath’s New York Office Moves to Two Manhattan West
On July 23, 2024, Cravath partner Andrew T. Davis participated in “Basics of International Taxation,” a program presented by the Practising Law Institute, in New York. Andrew spoke on a panel entitled “Compliance with Minimum Taxes,” which reviewed the international tax impacts of the United States’ new corporate alternative minimum tax and the global interaction of different enacted minimum taxes.

On July 16, 2024, Atalaya Capital Management LP (“Atalaya Capital Management”), a privately‑held alternative credit manager, and Blue Owl Capital Inc. (“Blue Owl Capital”), an alternative asset manager, announced that they have entered into a definitive agreement for Blue Owl Capital to acquire the business of Atalaya Capital Management for $450 million. The closing purchase price of $450 million is comprised of $350 million of Blue Owl equity and $100 million of cash. In addition, there is potential for up to $350 million of earnout consideration in the form of equity, subject to certain adjustments and achievement of future revenue targets. Cravath is representing Atalaya Capital Management in connection with the transaction.

Cravath represented the underwriter in connection with the $391.2 million registered secondary offering of class A common stock of Hess Midstream LP, a fee‑based, growth‑oriented, limited partnership formed by Hess Midstream GP LP and Hess Infrastructure Partners GP LLC to own, operate, develop and acquire a diverse set of midstream assets and provide fee‑based services to Hess Corporation and third-party customers. The transaction closed on May 31, 2024.

Cravath represented the administrative agent, joint lead arranger and joint bookrunner in connection with $1.5 billion of credit facilities made available to Monster Beverage Corporation, a leading developer and distributer of energy drink beverages. The facilities consisted of a $750 million revolving credit facility and a $750 million term loan facility. The transaction closed on May 22, 2024.
