Cravath’s New York Office Moves to Two Manhattan West

Cravath partners Alyssa K. Caples, Margaret T. Segall, Nicholas A. Dorsey, C. Daniel Haaren and Bethany A. Pfalzgraf spoke at the International Bar Association’s 2024 Annual Conference, which was held September 15‑20 in Mexico City and convened legal professionals from across the globe.
Alyssa spoke on a panel entitled “Super-Voting Shares and Dual‑Class Shares,” which reviewed the pros and cons of super‑voting shares and dual class shares from a securities markets and corporate governance perspective. Maggie spoke on a panel entitled “Regulatory Challenges in Global M&A,” which explored the proliferation of merger control and foreign investment review systems and solutions for navigating the consequent increased complexity of cross‑border deals. Nick spoke on a panel entitled “Carve‑Outs: An Option for Closely Held Companies?,” which explored a variety of legal and business considerations related to those transactions. Dan spoke on a panel entitled “The Increasing Use of Convertible Notes and Equity Derivatives in M&A and Strategic Participation Transactions,” which reviewed trends driving an increase in the use of equity derivatives and convertible bonds in equity acquisitions, as well as the complexities and challenges in doing so. Bethany spoke on a panel entitled “ESG and the Rising Tide of Greenwashing in International Capital Markets,” which examined current trends in environmental, social and governance topics for public companies.
