Cravath represented Veridex, LLC, a Johnson & Johnson company, in its acquisition of substantially all the assets of Immunicon Corporation and its subsidiaries. Immunicon, a public company based in Huntingdon Valley, Pennsylvania, with additional operations in the Netherlands, develops and commercializes proprietary cell- and molecular-based human diagnostic and life science research products. In connection with the acquisition, Immunicon Corporation and its subsidiaries filed voluntary petitions for relief under Chapter 11 of the United States Bankruptcy Code in the U.S. Bankruptcy Court for the District of Delaware on June 11, 2008. The acquisition will be conducted under the provisions of Section 363 of the U.S. Bankruptcy Code and will be subject to Bankruptcy Court approval and an auction process to be approved by the Bankruptcy Court.

Cravath represented the underwriters in connection with the $5 billion registered notes offering of Johnson & Johnson, the world’s largest, most diversified healthcare products company. Cravath also represented the underwriters in connection with Johnson & Johnson’s concurrent €4 billion notes offering. Proceeds of both offerings will be used to finance the acquisition of Intra‑Cellular Therapies, Inc. by Johnson & Johnson. The transactions closed on February 20, 2025, and February 26, 2025, respectively.
