Cravath represented the initial purchasers in connection with the €340 million 144A/Reg. S high‑yield senior secured notes offering of Leather 2 S.p.A., an entity indirectly beneficially owned by PAI Partners SAS and certain co‑investors. Proceeds of the offering were used to finance in part the acquisition of Conceria Pasubio S.p.A., one of the leading suppliers of premium leather for the automotive industry. The notes were listed on the Luxembourg Stock Exchange. The transaction closed on September 30, 2021.

Cravath also represented the dealer managers in connection with the concurrent cash tender offers for notes of Alcoa Nederland Holding B.V., a wholly owned subsidiary of Alcoa Corporation, with an aggregate principal amount of up to $1 billion. The transactions closed on March 17, 2025.
