Ligelis Jr. participated in “Mergers and Acquisitions in India: Is India the Last Oasis of Hope in a Global Slowdown?,” a conference hosted by the International Bar Association from April 24‑25, 2023 in Mumbai, India. G.J. spoke on a panel entitled “Divestments: M&A Opportunities for Global Investors,” which reviewed the ways global investors can unlock opportunities presented by the Indian Government’s divestment plan and what more should be done to make it work.

On February 17, 2023, WiseTech Global, developer of the leading logistics execution software CargoWise, announced its acquisition of Blume Global (“Blume”), provider of a leading solution facilitating intermodal rail in North America, for $414 million. Blume is being acquired from funds managed by Apollo, EQT and other minority shareholders. Cravath is representing WiseTech Global in connection with the transaction.

On January 24, 2023, WiseTech Global, developer of leading logistics execution software CargoWise, announced its acquisition of Envase Technologies (“Envase”), a leading provider of transport management system software for intermodal trucking, drayage (container haulage) and landside logistics in North America, in a transaction valued at $230 million. Envase is being acquired from private investment firm and supply chain investor Firmament, and a small number of other sellers. Cravath is representing WiseTech Global in connection with the transaction.

On December 13, 2022, Lifezone Metals, a developer of cleaner battery metals, announced it has entered into a definitive agreement for a business combination with GoGreen Investments, a publicly-listed special acquisition company. The transaction will create the first nickel resource and green technology company listed on the NYSE and, upon completion, the combined company will operate under the “Lifezone Metals” name and be listed under the ticker symbol “LZM.” The transaction values the combined company at a pro forma implied equity value of up to approximately $1.0 billion. Cravath is representing Lifezone Metals in connection with the transaction.

On September 6, 2022, Texas Capital Bancshares, Inc. (“Texas Capital”) announced it has entered into a definitive agreement to sell BankDirect Capital Finance, LLC (“BankDirect”), its insurance premium finance subsidiary, to AFCO Credit Corporation (“AFCO”), an indirect wholly‑owned subsidiary of Truist Financial Corp. (“Truist”), in an all‑cash transaction for a purchase price of approximately $3.4 billion. This transaction represents the divestiture of the entire business unit including the equity interests of BankDirect and the associated loan balances held by Texas Capital Bank and no parent funding, deposits or capital will be transferred. Cravath is representing Texas Capital in connection with the transaction.
