On September 26, 2011, the U.S. Bankruptcy Court for the Southern District of New York approved Barnes & Noble’s acquisition of all the intellectual property assets, including all trademarks and the database of approximately 48 million customers, from the Borders bankruptcy estate. Cravath represented Barnes & Noble in connection with this transaction. The sale was conducted as a bankruptcy auction and is expected to close on September 30, 2011.
