Alyssa K. Caples focuses on international corporate finance and mergers and acquisitions. She has been in the London office since 2010.
Ms. Caples’s representative matters include representing British American Tobacco, a global producer and seller of tobacco products, Drax, a renewable energy company, Picard Groupe, a French frozen food retailer, INEOS, one of the world’s largest chemical companies, and its affiliates INOVYN, INEOS Quattro and INEOS Styrolution, and Bacardi Limited in connection with their recent high‑yield and investment grade bond offerings; the initial purchasers in connection with recent bond offerings for ALAIN AFFLELOU, a leading optical retailer in France and Spain, Casino Group, a leading major multi‑format, multi‑banner and multi‑channel food retailer, Infopro Digital, a French business‑to‑business media and business information company, SMCP, an international apparel and accessories retail group, and Lowell/GFKL, a receivables management company; the managers in connection with JPMorgan Chase’s euro medium-term notes program; British American Tobacco in connection with its merger with Reynolds American; and Lifezone Metals in connection with its combination with GoGreen Investments.
Ms. Caples was previously based in London in 2005 and 2006. In 2008, she was seconded to an investment bank where she worked in its equity derivatives department for several months, and in 2010, she spent six months on secondment to a Paris firm. Prior to returning to London, Ms. Caples worked with the Firm’s Corporate Governance and Board Advisory Practice, counseling boards of directors, audit committees and senior management in connection with SEC and internal investigations, shareholder demands, insider trading issues, accounting questions and corporate governance matters.
Ms. Caples has been repeatedly recognized as a leading practitioner in the capital markets arena by Chambers UK, Chambers Global, The Legal 500 UK and IFLR1000. In 2022 and 2021, she was named to IFLR1000’s list of “Women Leaders – United Kingdom,” and in 2024, she received the Women in Business Law EMEA award for “Debt Capital Markets Lawyer of the Year.”

She received a B.A. summa cum laude from Columbia University in 1997, where she was elected to Phi Beta Kappa, and a J.D. cum laude from Harvard Law School in 2000, where she was a member of the Board of Student Advisors and a Senior Editor of the Journal of Law and Public Policy.

International Finance p.l.c. and Reynolds American Inc. in connection with its concurrent $2.9 billion cash tender offer. The registered notes offering closed on August 2, 2023 and the cash tender offer expired on August 28, 2023.

Alyssa co‑chaired a panel entitled “Capital Markets Developments – Future Trends & Practical Implications,” which reviewed best practices for reacting and responding to key capital markets developments such as proposed United Kingdom and European Union reforms to the listing regimes and digital bonds.

The guide, which is part of the publisher’s Global Practice Guides series, examines country‑specific legal issues that arise from foreign direct investment (“FDI”) and cross‑border transactions in the more than 30 jurisdictions covered. The U.S. Law & Practice chapter surveys the legal system and regulatory framework for FDI in the country, analyzing the economic climate, as well as considerations related to mergers and acquisitions, corporate governance, capital markets, antitrust, national security, tax, employment and intellectual property.

On May 18, 2023, Cravath prepared a memo for its clients entitled “SEC Amends Rules Requiring Disclosures of Issuer Share Repurchase and Rule 10b5‑1 Plans.” The memo examines the U.S. Securities and Exchange Commission’s recently adopted final rules on a number of disclosure requirements related to issuer share repurchases. The memo outlines key features of the new rules, the new tabular disclosures, the new narrative disclosures about issuer 10b5‑1 plans and issuer repurchases, and recommendations for companies. Cravath also published a tailored version of the memo for Foreign Private Issuers.
