Cravath’s New York Office Moves to Two Manhattan West
Michael L. Schler retired from Cravath’s Tax Department in 2022. His practice focused on corporate tax, corporate finance (including structured finance and securitizations), mergers and acquisitions and international transactions.
Mr. Schler was born in New York, New York. He received a B.A. magna cum laude from Harvard University in 1970, a J.D. from Yale Law School in 1973 and an LL.M. in taxation from New York University in 1979. Before joining Cravath, Mr. Schler served as a law clerk to Hon. Max Rosenn of the U.S. Court of Appeals for the Third Circuit.
Mr. Schler joined Cravath in 1974 and was elected a partner in 1982. He retired as a partner in the Firm on December 31, 2014, and had been Of Counsel to the Firm since 2015.

Retired partner Michael L. Schler spoke at “Tax Strategies for Corporate Acquisitions, Dispositions, Spin‑Offs, Joint Ventures, Financings, Reorganizations & Restructurings 2023,” a program presented by the Practising Law Institute from November 15‑17, 2023, in Chicago, IL. The event convened law firm and accounting firm professionals, in‑house tax professionals and government attorneys to discuss the tax issues presented by the entire spectrum of modern major corporate transactions. Mike spoke on a panel entitled “Consolidated Return Planning and Strategies,” which addressed current issues in applying the consolidated return regulations, including those arising from the recently enacted Inflation Reduction Act, such as statutory uncertainties, recent regulatory and administrative guidance and informal guidance issued by the IRS.

Lauren spoke on a panel entitled “Selected Seller and Buyer Issues, Including Negotiating and Drafting Tax Provisions in Acquisition Agreements,” which discussed key risk allocation issues, reporting requirements and the impact of recent legislation on the terms of the agreement and the negotiation process. Mike spoke on a panel entitled “Consolidated Return Planning and Strategies,” which discussed current issues in consolidated returns, including those arising from recent legislation enacted as part of the 2017 Tax Act and the 2021 Inflation Reduction Act.
